Wholesale Terms & Conditions
Overview
These Wholesale Terms & Conditions apply to approved B2B, dealer, reseller, installer, service provider, commercial, OEM, fleet, government, and wholesale customers purchasing from Seatech Marine Products.
- By applying for a B2B account, placing an order, submitting a purchase order, accepting a quote, or purchasing through a wholesale account, you agree to these terms.
- These terms apply in addition to Seatech Marine Products’ B2B shipping policy, return and warranty policy, MAP and pricing policy, and any applicable manufacturer policies.
- Seatech Marine Products may approve, deny, suspend, modify, or terminate wholesale account access at any time.
- Manufacturer policies, special quote terms, written account agreements, and product-specific requirements may also apply.
Wholesale account eligibility
- Wholesale accounts are intended for legitimate marine businesses, dealers, installers, service companies, OEMs, commercial operators, fleet operators, and approved resale or professional-use customers.
- Account approval may require a completed application, business license, resale certificate, seller’s permit, tax exemption certificate, trade references, website review, proof of business activity, or other documentation.
- Account pricing and access are not guaranteed and may vary by customer type, product line, order volume, manufacturer restrictions, and account status.
- Seatech Marine Products may request updated account information, tax documents, or resale certificates at any time.
- Accounts may be reviewed periodically for activity, compliance, payment history, policy adherence, and resale practices.
Account use and responsibility
- Your wholesale account is assigned to your approved business only.
- Wholesale pricing, dealer pricing, OEM pricing, quote pricing, and account-specific discounts are confidential.
- You may not share your account login, pricing, discount structure, or quote information with unauthorized parties.
- You are responsible for all orders placed through your account, including orders placed by employees, purchasing staff, contractors, or authorized users.
- You must notify us promptly if an authorized user leaves your company or should no longer have access to your account.
- Account privileges may not be transferred, assigned, sold, or used by another company without written approval.
Orders, quotes, and purchase orders
- All orders are subject to acceptance by Seatech Marine Products.
- Receipt of an online order, quote request, email order, or purchase order does not guarantee acceptance or shipment.
- We may reject, cancel, hold, or revise an order due to pricing errors, stock errors, product availability, payment issues, account status, manufacturer restrictions, shipping limitations, suspected fraud, or other business reasons.
- Quotes are valid only for the period stated on the quote. If no expiration date is listed, the quote is subject to change without notice.
- Quoted pricing may change due to manufacturer price updates, tariffs, freight increases, supplier cost changes, availability changes, or quote expiration.
- Purchase orders must include correct part numbers, quantities, billing information, shipping address, contact information, requested shipping method, and any special instructions.
- Customer purchase order terms are rejected unless specifically accepted by Seatech Marine Products in writing.
Special orders, custom orders, and backorders
- Special order, custom, configured, assembled-to-order, cut-to-length, manufacturer-direct, non-stock, and large quantity orders may require prepayment.
- Special order and custom items may not be cancelable or returnable once ordered.
- Manufacturer lead times are estimates only and may change without notice.
- Backorders may ship when available unless you request cancellation before the item is processed or shipped.
- Orders with multiple items may ship complete or in partial shipments depending on stock, supplier availability, and shipping method.
- Partial shipments may result in additional shipping charges unless otherwise approved in writing.
Pricing, discounts, and MAP compliance
- Wholesale, dealer, OEM, volume, and account-specific pricing are confidential and may not be published, shared, reposted, forwarded, or advertised.
- Pricing is subject to change without notice due to manufacturer updates, tariffs, freight, supplier cost changes, currency changes, or product availability.
- Website pricing, quote pricing, verbal pricing, and emailed pricing are not final until accepted and confirmed by Seatech Marine Products.
- Approved wholesale pricing does not authorize you to advertise below manufacturer MAP, UPP, MWP, or similar minimum pricing policies.
- You are responsible for following all applicable manufacturer pricing policies for products purchased from Seatech Marine Products.
- Discounts, coupon codes, marketplace pricing, shopping feeds, repricing tools, bundles, and promotions must comply with applicable manufacturer policies.
Taxes and resale certificates
- Customers are responsible for all applicable sales tax, use tax, VAT, duties, customs fees, import fees, and similar charges unless a valid exemption applies.
- Tax-exempt or resale purchases require a valid resale certificate, exemption certificate, or other required documentation before the order is processed as tax exempt.
- Providing a resale certificate does not automatically make every purchase tax exempt.
- If a resale certificate is invalid, expired, incomplete, not applicable to the shipment destination, or rejected, tax may be charged.
- The customer is responsible for any tax, penalty, interest, or assessment resulting from incorrect exemption information.
Payment terms
- Payment terms are determined by account approval, order type, credit status, and Seatech Marine Products’ discretion.
- Accepted payment methods may include credit card, ACH, wire transfer, check, approved account terms, or other approved methods.
- Orders may be held until payment clears, credit is approved, ACH is confirmed, wire funds are received, or purchase order terms are approved.
- Credit terms, if granted, may be changed, reduced, suspended, or revoked at any time.
- Seatech Marine Products may require prepayment for special orders, custom orders, large orders, new accounts, past-due accounts, international orders, or high-value shipments.
- Customers are responsible for bank fees, wire fees, returned payment fees, chargeback fees, and collection costs where permitted by law.

Past due accounts and collection costs
- Past due accounts may be placed on credit hold without notice.
- Orders, quotes, shipments, warranty support, special pricing, or account access may be delayed or suspended while an account is past due.
- Past due balances may be subject to service charges, interest, late fees, collection costs, attorney fees, and other costs where permitted by law.
- Returned checks, failed ACH payments, chargebacks, and disputed payments may result in additional fees and loss of credit terms.
- Seatech Marine Products may apply payments to the oldest outstanding invoices first unless otherwise required by law.
Shipping, title, and risk of loss
- Shipping terms are subject to Seatech Marine Products’ B2B Shipping Policy.
- We may ship from our San Diego location, a manufacturer, distributor, supplier, partner warehouse, or other fulfillment location.
- Customer is responsible for providing accurate shipping information, including business name, contact, address, phone number, email, receiving hours, and special delivery requirements.
- Customer is responsible for address correction fees, re-delivery fees, refused shipment fees, residential delivery fees, liftgate fees, limited-access fees, appointment fees, and other carrier-assessed charges unless otherwise agreed in writing.
- When shipping on a customer carrier account, customer is responsible for all carrier charges and carrier-assessed fees.
- Risk of loss generally passes to the customer when the shipment is tendered to the carrier, unless otherwise required by law or agreed in writing.
- Shipping dates, delivery dates, and lead times are estimates only and are not guaranteed unless expressly confirmed in writing.
Returns, cancellations, and warranty
- Returns are subject to Seatech Marine Products’ B2B Return & Warranty Policy.
- Return authorization is required before sending product back.
- Special order, custom, electronic, installed, used, modified, incomplete, damaged, or manufacturer-direct items may be non-returnable.
- Approved returns may be subject to restocking fees, inspection, freight deductions, supplier fees, missing part charges, packaging deductions, or rejection.
- Warranty coverage is determined by the applicable manufacturer warranty unless otherwise stated in writing.
- Warranty review does not guarantee approval, replacement, credit, refund, labor reimbursement, or freight reimbursement.
- Do not promise your customer warranty approval or reimbursement unless approved in writing by Seatech Marine Products or the manufacturer.
Product information and compatibility
- Product descriptions, photos, diagrams, fitment references, specifications, stock status, and availability are provided for convenience and may change without notice.
- Manufacturers may change part numbers, supersessions, packaging, included components, specifications, and availability without notice.
- Customers are responsible for confirming the correct product, fitment, compatibility, voltage, size, configuration, and application before ordering or reselling.
- Seatech Marine Products is not responsible for installation issues, compatibility errors, incorrect customer diagnosis, or resale recommendations made by the B2B customer.
- Technical guidance is provided as a courtesy and does not replace manufacturer instructions, professional installation, inspection, or final application verification.
Resale, marketplace, and brand conduct
- B2B customers must represent products accurately and professionally.
- Do not advertise products using misleading claims, outdated specifications, unauthorized logos, incorrect compatibility information, or unapproved warranty promises.
- Do not imply that you are Seatech Marine Products, the manufacturer, or an authorized factory representative unless separately approved in writing.
- Online marketplace sales may be restricted by manufacturer policy, MAP/UPP/MWP rules, brand authorization requirements, or Seatech Marine Products account terms.
- You are responsible for all pricing, content, claims, product data, customer service, returns, and compliance related to your resale channels.
Compliance, export, and restricted use
- Customers are responsible for complying with all applicable laws, regulations, import/export rules, tax requirements, safety requirements, and product-use restrictions.
- International customers are responsible for duties, taxes, customs clearance, brokerage fees, import permits, and local compliance requirements.
- Some products may be restricted for export, resale, installation, or use in certain countries, applications, or vessels.
- Customer agrees not to export, re-export, transfer, or use products in violation of applicable laws or manufacturer restrictions.
- Customer is responsible for ensuring products are installed and used only in safe, lawful, and appropriate applications.
Account suspension or termination
- Seatech Marine Products may suspend or terminate wholesale account access at any time.
- Reasons may include past due balances, payment disputes, chargebacks, policy violations, MAP/UPP/MWP violations, misuse of account pricing, suspected fraud, unauthorized resale, excessive returns, abusive conduct, or inactivity.
- Account suspension may affect open orders, quotes, backorders, special pricing, credit terms, and access to B2B pricing.
- Termination of account access does not release the customer from payment obligations, open invoices, policy violations, or other responsibilities incurred before termination.
Legal terms
Limitation of liability
- To the fullest extent permitted by law, Seatech Marine Products is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
- This includes loss of profit, loss of revenue, downtime, haul-out costs, labor, travel, installation, removal, diagnostic time, loss of use, vessel delay, lost charter, or other consequential costs.
- Seatech Marine Products’ maximum liability for any order is limited to the amount paid to Seatech Marine Products for the specific product giving rise to the claim, unless otherwise required by law.
Indemnification
- Customer agrees to indemnify and hold harmless Seatech Marine Products from claims, losses, damages, liabilities, costs, and expenses arising from customer’s resale, installation, recommendations, advertising, representations, policy violations, misuse of products, or failure to comply with these terms.
Force majeure
- Seatech Marine Products is not responsible for delay or failure caused by events beyond our reasonable control, including manufacturer delays, supplier shortages, carrier delays, labor disruptions, weather, natural disasters, port delays, customs delays, tariffs, government action, cyber incidents, pandemics, or other disruptions.
Governing law and venue
- Unless otherwise agreed in writing, these terms are governed by the laws of the State of California.
- Any dispute shall be handled in the state or federal courts located in San Diego County, California, unless otherwise required by law.
Changes to these terms
- Seatech Marine Products may update these Wholesale Terms & Conditions at any time.
- The version posted on our website at the time of order applies unless otherwise agreed in writing.
- Continued use of a wholesale account or placement of orders after an update means you accept the updated terms.
Common questions
Does account approval guarantee wholesale pricing on every product?
No. Pricing may vary by brand, product line, manufacturer restrictions, order volume, account type, and account status.
Can I use my own purchase order terms?
You may submit a purchase order, but any conflicting purchase order terms are rejected unless Seatech Marine Products accepts them in writing.
Can I share my B2B pricing with my customer?
No. Wholesale, dealer, OEM, quoted, and account-specific pricing is confidential and may not be published or shared outside your approved business.
Can Seatech change my pricing or terms?
Yes. Pricing, discounts, account access, and credit terms may change based on manufacturer updates, account status, payment history, order activity, or policy compliance.
Are lead times guaranteed?
No. Lead times and delivery estimates are provided as estimates only unless specifically confirmed in writing.
